IMPORTANT: Whether accessing via the waitlist, buying a Course, participating in coaching, or engaging us for Services, you must read and agree to the provisions below. If you do not agree, please do not use this Site or purchase any services.
1. Introduction
The Automation Edit Ltd (“we”, “us”, “our”) operates theautomationedit.com (the “Site”) and the associated digital course (the “Course”), coaching services (the “Coaching”) and consulting and implementation services (the "Services"). Your use of the Site, including purchases or communications, is governed by these Terms.
2. Definitions
Course: Online training modules accessible via the Site.
Coaching: One-on-one paid coaching delivered via Zoom or Google Meets.
User: Anyone who visits the Site, signs up, or purchases Courses, Coaching or Services.
Services: One-to-one consulting and implementation work, including strategy, audits, marketing automation and email build work, as set out in a written Proposal.
Proposal: The written proposal, scope or quote provided to you and accepted in writing, which describes the specific Services, deliverables, timeframes and fees.Consumer Guarantees Act 1993 (CGA): New Zealand law protecting consumers’ rights and preventing businesses from limiting those statutory rights.
3. Acceptance & Eligibility
You must be 18+ to create an account, participate, or purchase.
Joining the waitlist imposes no payment or contract obligation. For Services, a contract is formed when you accept a Proposal in writing or make the first payment required under that Proposal, whichever occurs first.
4. Access & Accounts
Once your payment is accepted, you receive a user account.
You must keep your username and password confidential and safe.
Only one account per person; sharing may result in access suspension.
Accounts apply to Course purchases. Services clients are onboarded directly.
5. Refund & Cancellation Policy
5.1 Course: 30-Day Unconditional Money-Back Guarantee
If you purchase a Course, you may request a full refund — no questions asked — within 30 calendar days from the date of purchase. To request a refund, contact us in writing at support@theautomationedit.com with your name and order details. After the 30-day period, no refunds will be issued.
5.2 Coaching (1:1 Sessions): No Refunds
All Coaching purchases are final sale. No refunds will be issued under any circumstances, including withdrawal or scheduling changes.
Unused coaching sessions must be used within 12 months of purchase or are forfeited. This reflects standard practice where coaching services are non-refundable in the absence of statutory consumer guarantees.
Statutory Consumer Guarantees Reminder (CGA)
Nothing in these terms limits your rights under the Consumer Guarantees Act 1993, including the right to a refund or remedy if Course, Coaching or Services suffers a “major failure” (such as lack of due care and skill, or serious non‑fitness for purpose). Any no‑refund clause does not override statutory rights.
5A. Consulting & Implementation Services
5A.1 Scope. The Services are those described in your Proposal. Anything not described there is out of scope and quoted separately. Where these Terms and the Proposal conflict, the Proposal applies.
5A.2 Fees and Payment. Fees and payment schedules are as stated in the applicable Proposal. Unless otherwise stated in the Proposal, all invoices are payable by the due date shown on the invoice. We may pause or delay work, including delivery of final deliverables, while any payment is overdue.
5A.3 Term. Where Services run over a fixed period, that period is stated in the Proposal. Any early-exit point will be stated there.
5A.4 Your responsibilities. You agree to provide timely access to relevant systems and accounts, approve work within the timeframes stated in the Proposal, complete any tasks assigned to you, and maintain your own subscriptions to third-party platforms. Where delays are caused on your side, timeframes extend accordingly and fees remain payable.
5A.5 Third-party platforms. Services often involve platforms we do not control (for example booking systems, email platforms and advertising platforms). We are not responsible for their availability, pricing, performance, or changes they make. You are responsible for your own subscription costs.
5A.6 Results. We bring due care and skill, but outcomes depend on factors outside our control including your market, pricing, delivery and follow-through. No specific result is guaranteed.
5A.7 Refunds. Fees for Services already delivered are non-refundable. Where the Proposal includes a review or exit point, that applies as stated.
6. Intellectual Property
6.1 Our pre-existing materials — including Course content, templates, frameworks, processes and methodologies — remain our intellectual property. You receive a non-transferable licence to use them for your own business. You may not copy, reproduce, share, publish, or create derivative materials without our prior written consent.
6.2 Client Deliverables. Work created specifically for you as part of Services — including email copy, automations, customer journey maps, strategy documents and reports — becomes your property once all fees have been paid in full. Until then, we retain ownership.
6.3 Nothing transfers our underlying templates, frameworks or know-how, which we remain free to reuse.
7. Permitted Use & Conduct
You may use Course content solely for personal or business learning.
Prohibited: Sharing or distributing materials, copying to compete with us, downloading for redistribution, or using materials for automated bulk uploads.
Breach may result in immediate access revocation without refund.
8. Confidentiality & Privacy
Each party will keep the other's confidential information private, including business data, customer information, pricing and strategy. This continues after the engagement ends. We will handle any personal information you provide in accordance with the Privacy Act 2020 and use it only to deliver the Services.
8A. User Content & Marketing
Feedback, comments, or testimonials you submit may be used (text or shortened) in marketing with a perpetual, royalty-free licence granted to us. We may describe our work with you, including results and anonymised or named examples, in marketing materials. We'll agree specific figures and any use of your business name with you in writing before publishing.
We’re not liable for third-party claims arising from user content.
9. Third-Party Links & Resources
The Course may reference or link to external tools, websites, or resources not under our control. Accessing them is at your discretion—we’re not liable for their content or accuracy.
10. Disclaimer of warranties
The Site and Course materials are provided "as is" and "as available". Content may contain errors or omissions; use the materials at your own risk. Educational content is not professional (legal, medical, financial) advice — make independent decisions accordingly. Services are provided with due care and skill as set out in clause 5A.6.
11. Limitation of liability
To the fullest extent permitted by law, our total liability is limited as follows:
We may refund your fees if Course access has not yet begun.
We may fulfil your statutory rights under the CGA.
For Services, our total aggregate liability is limited to the fees you have paid us for the Services in the three months preceding the claim.
12. Indemnification
You agree to indemnify The Automation Edit Ltd and associated parties (directors, agents, etc.) from any claims, costs, or liabilities arising from your breach of these Terms or misuse of our Services.
13. Termination
You may stop using the Site for Courses at any time by ceasing access.
Where Services are provided over a fixed term, the term is as set out in the Proposal and fees for that term remain payable. Any early-exit right will be stated in the Proposal.
We reserve the right to suspend or terminate your access immediately—without refund—for breaches of these Terms.
14. Changes to Terms
We may revise these Terms at any time by updating this page. Your continued use after such updates constitutes acceptance of the revised Terms.
15. Governing Law & Dispute Resolution
These Terms and any disputes shall be governed by the laws of New Zealand. You agree to submit to the exclusive jurisdiction of New Zealand courts. Consumer complaints may also be directed to the Disputes Tribunal or Commerce Commission.
16. Your Consumer Rights
Under the Consumer Guarantees Act 1993, if the Course, Coaching or Services are faulty or not delivered with due care and skill, you are entitled to seek remedies like refund, repair, or compensation. These rights are not waived by any refund policy.
